1. General provisions

1.1. Ildus Zaitovich Ganiev, Tax ID 023802825780, a professional income tax payer (self-employed), place of business: Ufa, Republic of Bashkortostan, Russian Federation, hereinafter the “Provider”, offers adult individuals to enter into an agreement on the terms of this Public Offer.
1.2. Overlapping is available at https://overlapping.ru.
1.3. The Provider’s email for user inquiries is overlapping@mail.ru.
1.4. Overlapping is an online service for organizing and planning personal tasks and time.
1.5. Only an individual aged 18 or over may be a User of the Service.
1.6. This Offer is an offer to enter into an agreement in accordance with the laws of the Russian Federation.

2. Terms

2.1. Service means the Overlapping software service available at https://overlapping.ru.
2.2. User means an adult individual who has registered an account in the Service.
2.3. Account means the User’s Overlapping account.
2.4. Free functionality means Overlapping features available without purchasing a Subscription.
2.5. Subscription means paid access to server synchronization and storage of Overlapping data on the Provider’s server equipment for 30 calendar days.
2.6. User Content means tasks, notes, settings, planning data and other information created or placed by the User in the Service.

3. Subject matter

3.1. The Provider grants the User the right to use Overlapping functionality in accordance with this Offer.
3.2. The Service interface provides schedules, events, groups, participants, free time, overlaps and analytics. Adding new events, groups and participants requires an active paid Subscription or free period.
3.3. Schedule data is stored on the Overlapping server. Expiry alone does not delete previously stored data; adding new events, groups and participants becomes unavailable until renewal. A separate offline mode with local storage is not provided.
3.4. When a Subscription is purchased, task and planning data is transmitted over a secure HTTPS connection to server equipment owned by the Provider and physically located in Ufa, Republic of Bashkortostan, Russian Federation, and stored in PostgreSQL for synchronization and storage within the Service’s functionality.
3.5. A Subscription does not transfer ownership of the Overlapping software to the User.

4. Subscription price and term

4.1. The Subscription costs RUB 200 (two hundred rubles) for 30 calendar days.
4.2. The Subscription starts when the payment service confirms successful payment.
4.3. The Subscription lasts 30 calendar days from activation.
4.4. After registration and email confirmation, each new account receives free access to Subscription features once for 10 days (240 hours). Signing in again does not extend this period. After the free access expires, the User purchases a paid Subscription manually; no automatic charge is made.
4.5. There is no automatic renewal.
4.6. The Provider does not make automatic or recurring charges.
4.7. To continue using paid functions after a period expires, the User purchases a new Subscription independently.
4.8. The Provider may change the price for future periods; a new price applies only to Subscriptions purchased after it takes effect.
4.9. A price change does not affect an already-paid period. Free access is available once per email. Deleting an account and registering again with the same email does not grant another free period.

5. Payment

5.1. Subscription payments are made using Robokassa.
5.2. Bank details, full bank-card data and other payment data required directly for payment are entered by the User on the payment service side.
5.3. Overlapping does not receive or store the full card number, CVC/CVV or other data sufficient to initiate payment independently.
5.4. The Provider may receive technical payment information from the payment service, including the transaction identifier, amount, date, status and other information needed to confirm payment and perform the agreement.
5.5. The User’s payment obligation is deemed fulfilled after the Service receives confirmation of successful payment.
5.6. After receiving payment, the Provider issues the receipt required for a professional income tax payer and sends it to the User electronically.

6. Entering into the agreement

6.1. Before purchasing a Subscription, the User must register in Overlapping.
6.2. Before payment, the User confirms acceptance of this Offer.
6.3. Acceptance of this Offer consists of the following actions taken together: registration in the Service; confirmation of acceptance through the relevant interface element; and payment for the Subscription.
6.4. The agreement between the User and the Provider is deemed concluded on the terms of this Offer once payment is successful.
6.5. The Personal Data Processing Policy is published separately and is available before registration and payment.
6.6. Consent to personal data processing is given separately from acceptance of this Offer.

7. End of Subscription

7.1. After the paid 30-day period the Subscription ends automatically without a charge.
7.2. When the Subscription ends, server synchronization of new data and adding new data to paid server storage become unavailable until a new Subscription is purchased.
7.3. Previously stored User data is not deleted solely because the Subscription ended and remains in the Account in accordance with the Personal Data Processing Policy.
7.4. The User may delete the Account using the “Delete account” function in Overlapping. Account deletion ends access to the Service and initiates deletion of User data from the working database, except information the Provider is required or entitled to retain on another lawful basis.
7.5. After Account deletion, copies of previously synchronized data may temporarily remain in a backup on the second physical disk of the same server until the end of the 30-day backup cycle, after which they are deleted or overwritten as part of the normal backup cycle.
7.6. If a paid Subscription is active when the Account is deleted, the User may separately request a refund for the unused period under Section 8 of this Offer.

8. Cancellation and refunds

8.1. The User may cancel the Subscription at any time.
8.2. To cancel and request a refund, the User sends a free-form application to overlapping@mail.ru.
8.3. The application should state the full name, Account email, payment date and, if available, the payment identifier or other payment information.
8.4. To simplify and standardize refunds, the Provider uses a proportional calculation for the unused period: P = S / D × max(0, D − N), where P is the preliminary refund before documented actual expenses, S is the Subscription price, D is the actual number of calendar days in the paid period, and N is the number of calendar days from activation through and including the date the Provider receives the cancellation request.
8.5. Only actual expenses directly connected with performance of the agreement and cancellation may be deducted, where such deduction is permitted by Russian law.
8.6. Such expenses may include payment-service fees actually withheld from and not returned to the Provider for the transaction and/or refund, if actually incurred and documented.
8.7. A commission is not deducted automatically merely because Robokassa was used; if it was returned to the Provider or not actually charged, it is not treated as an expense.
8.8. If Russian law provides a more favorable refund procedure or amount for the User in a particular case, the law applies.
8.9. The Provider processes the request and sends the refund instruction no later than 10 business days after receipt, unless the law sets a shorter period.
8.10. The actual crediting time after a refund may depend on the User’s bank and payment system.
8.11. A refund is generally made by the same method and to the same payment instrument used for payment.
8.12. If that is technically impossible, another lawful refund method is agreed with the User.
8.13. Cancellation of the Subscription does not automatically delete the Account; personal-data deletion is handled separately under the Personal Data Processing Policy.

9. User rights and obligations

9.1. The User may use the Service according to its purpose.
9.2. The User must provide accurate information during registration and use of the Service.
9.3. The User is responsible for safeguarding the password, one-time authentication codes and access to the User’s email.
9.4. The User must promptly notify the Provider if unauthorized access to the Account is discovered.
9.5. The User must not use Overlapping in violation of Russian law; attempt unauthorized access to infrastructure or other users’ accounts; distribute malware; disrupt the Service; circumvent technical restrictions; create automated load capable of disrupting Overlapping; store unlawful information; place third-party personal data without a lawful basis; or attempt to copy, decompile or otherwise unlawfully use Overlapping’s software code.

10.3. The User is responsible for the legality of materials and data the User places in the Service.
10.4. Overlapping is not intended for storing state secrets or special categories of personal data unless such processing is expressly provided for by the Service functionality and documents.

11. Operation and availability of the Service

11.1. The Provider takes reasonable technical measures to support stable operation of Overlapping.
11.2. The Service may be temporarily limited because of maintenance and updates; faults in server hardware, drives, network equipment or software; power or Internet outages at the server location; actions of the Internet provider, payment service or email service; information-security circumstances; or other circumstances not directly controlled by the Provider.
11.3. Overlapping’s production server infrastructure is hosted on equipment owned by the Provider in Ufa, Republic of Bashkortostan, Russian Federation. Websites are accessed via HTTPS; Let’s Encrypt is used for TLS certificates.
11.4. The Provider does not guarantee absolute uninterrupted availability 24 hours a day, 365 days a year.
11.5. This Section does not limit mandatory consumer rights.

12. Intellectual property

12.1. Overlapping software code, design, structure, graphic elements, databases, interface texts and other intellectual-property results belong to their lawful right holders.
12.2. The User receives a limited, non-exclusive right to use the Overlapping interface and functionality solely for the purpose of the Service.
12.3. No exclusive rights to Overlapping are transferred to the User.

13. Liability

13.1. The parties are liable in accordance with Russian law and this Offer.
13.2. The Provider is not liable for inability to use the Service caused by the User’s device, software, Internet connection or third-party services.
13.3. The Provider is not liable for actions of third parties who obtained Account access because the User failed to safeguard authentication credentials, unless otherwise required by law or the circumstances.
13.4. Nothing in this Offer excludes or limits the Provider’s liability where such limitation is prohibited by Russian law.

14. Account restriction

14.1. The Provider may temporarily restrict Account access where there are reasonable signs of unauthorized access, an attack on the Service, fraud, a violation of law or a material breach of this Offer.
14.2. Where technically and legally possible, the User is informed of the reason for the restriction.

15. Support

15.1. Support requests are accepted at overlapping@mail.ru.
15.2. The ordinary support response time is up to 5 business days.
15.3. This period does not change statutory time limits for considering consumer claims.

16. Amendments to the Offer

16.1. The Provider may publish a new version of the Offer as the Service develops or legislation changes.
16.2. A new version applies to relations after its effective date.
16.3. Terms of an already-paid Subscription period may not be worsened by a new version except where changes are directly required by law.

17. Final provisions

17.1. Relations between the Provider and the User are governed by the laws of the Russian Federation.
17.2. The User’s consumer rights are determined, among other things, by Russian consumer-protection law.
17.3. This Offer does not limit a consumer’s statutory choice of territorial jurisdiction.
17.4. Inquiries and claims may be sent to overlapping@mail.ru.
17.5. Provider details: Ildus Zaitovich Ganiev; professional income tax payer (self-employed); Tax ID 023802825780; place of business: Ufa, Republic of Bashkortostan, Russian Federation; email: overlapping@mail.ru; service: Overlapping; websites: https://overlapping.ru.

Creation limits per account: up to 1,000 new events, 1,000 new groups and 1,000 new schedule participants per calendar day in the Asia/Yekaterinburg time zone. Each type has its own independent limit, including during the free period. Deleting an item does not reduce the day’s creation count.

After a new registration is confirmed, the Service creates an editable example family schedule once, with fictional participants, groups and events. These are sample data, not information about the User’s actual children, work or health. Names use the registration language; the one-time example date uses the specified time zone. Examples may be edited or deleted and are not restored on subsequent sign-in.
